1. Acceptance of Terms

By accessing or using www.healthimpact.ai or any related services (collectively, the “Services”), you agree to these Terms of Service, as updated from time to time. If you do not agree, do not use the Services.

2. Eligibility

You must be 18 years or older and located in the United States or its territories to use the Services. The Services are not intended for children or for any emergency or specialist medical conditions.

3. NOT MEDICAL ADVICE – CRITICAL DISCLAIMER

The Services provide general health information and AI-assisted communication tools only. They do NOT constitute medical advice, diagnosis, or treatment. You should always consult a qualified healthcare professional for medical concerns.

You may not use the Services for:

• Any emergency or potentially life-threatening situation

• Suicidal thoughts, self-harm, or harm to others

• Mental health crises

• Pediatric emergencies or serious child health issues

• Pregnancy complications, labor, or delivery

• Oncology, cardiology, neurology, autoimmune diseases, rare diseases, or any condition normally requiring specialist care

• Any situation where delay could cause harm

In the situations above, call 911, 988 (US suicide & crisis lifeline), or your local emergency services immediately.

4. Use of the Services and User Accounts

Subject to your compliance with these Terms, you may access and use our Services. You must comply with all applicable laws and any other documentation, guidelines, or policies we make available to you.

Certain features may require an account. You are fully responsible for all activity that occurs under your account. Notify us immediately at info@healthimpact.ai of any unauthorized use.

5. User Content

You Own Your User Content

You may provide input to the Services (“Input”) and receive output from the Services based on the Input (“Output”). Input and Output are collectively “User Content.”

You are solely responsible for your User Content, including ensuring that it does not violate any applicable law or these Terms. You represent and warrant that you have all rights, licenses, and permissions needed to provide the Input to the Services. To the extent permitted by applicable law, and as between you and HealthImpact.AI Inc., you retain all ownership rights in your User Content. You are responsible and liable for your User Content.

Our Use of User Content

You grant HealthImpact.AI Inc. an irrevocable, perpetual, transferable, sublicensable, royalty-free, and worldwide license to use, copy, store, modify, distribute, reproduce, publish, display, perform, create derivative works of, publicly perform, publicly display, aggregate, and otherwise make use of your User Content (and any derivative works thereof) for any purpose, including without limitation:

(i) providing, maintaining, and improving the Services;

(ii) data analysis, research, developing new products or features, market research, identifying usage trends, and other business purposes;

(iii) enforcing these Terms, complying with applicable law, or keeping the Services safe.

This license continues even if you stop using the Services.

6. Privacy & Data Practices

We are HIPAA-compliant when protected health information is involved.

Unless you create an account or explicitly identify yourself, we do not know who you are.

You may request deletion of your account and associated data at any time by emailing support@healthimpact.ai.

7. Prohibited Uses

You may not:

Use the Services for any commercial purpose or to develop competing AI models
Use outputs to train, fine-tune, or improve any other AI system
Scrape, data-mine, reverse-engineer, or attempt to extract the model
Introduce false information, attempt jailbreaks, or prompt unlawful/harmful content
Upload or transmit viruses or malicious code
Remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notice from the Services
Violate any applicable law

We may immediately terminate access for violations.

8. Intellectual Property Rights

8.1 Ownership of the Services

HealthImpact.AI Inc. own all worldwide right, title, and interest in and to the Services, including all content, features, software, text, displays, images, graphics, logos, trademarks, trade names, service marks, audio, video, design, “look and feel,” and the selection and arrangement thereof (collectively, “Company Content”). The Services are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You must not remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notice incorporated in or accompanying the Services.

8.2 Feedback

Any feedback, suggestions, ideas, or other submissions you provide about the Services (“Feedback”) is voluntary, and you grant HealthImpact.AI Inc. a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Services without attribution or compensation to you.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ACCURACY, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THE AI WILL BE ERROR-FREE OR THAT INFORMATION WILL BE CORRECT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALTHIMPACT.AI INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Arbitration Agreement & Class Action Waiver

You and HealthImpact.AI agree that any dispute arising from these Terms or the Services will be resolved through final and binding arbitration on an individual basis (no class actions).

12. Governing Law

These Terms and any dispute or claim arising out of or related to them or the Services shall be governed exclusively by the laws of the State of Nevada, without regard to conflict of law principles. Any legal action or proceeding (outside of arbitration) relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Washoe County, Nevada, and you consent to personal jurisdiction and venue there.

13. Changes to Terms

We may update these Terms at any time. Continued use after changes constitutes acceptance of the new terms.

14. Beta Offerings

From time to time, in our sole discretion, we may offer certain test or beta features or products ("Beta Offerings"). Your use of any Beta Offering is entirely voluntary. Beta Offerings are provided strictly "as is" and may contain errors, defects, bugs, or inaccuracies that could cause failures, corruption, or loss of data.

If we designate a Beta Offering as closed or confidential, we will notify you. For any such confidential Beta Offerings, you agree not to disclose, show, or otherwise make available any aspect of them (including screenshots, descriptions, or performance) to any third party without our prior written consent.

15. Copyright Infringement (DMCA) Notices

HealthImpact.AI respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA).

If you believe your copyrighted work has been infringed, send written notice to:

containing:

A physical or electronic signature of the person authorized to act on behalf of the copyright owner;
Identification of the copyrighted work claimed to be infringed;
Identification of the material claimed to be infringing and information reasonably sufficient to locate it;
Your address, telephone number, and email address;
A statement of good faith belief that the use is not authorized;
A statement, under penalty of perjury, that the information is accurate and that you are the copyright owner or authorized to act on their behalf.
